Demerzel Solutions Limited ("Nethermind", "we", "us" or "our") is a blockchain software development and research company, registered in England and Wales (company number 10908862), with registered office at 30 Churchill Place, London, England, E14 5EU.
These Terms and Conditions (the "Agreement") govern your access and use of the Data Backup Storage Service (defined below) provided by Nethermind. The terms "you" and "your" refer to you as an individual end user of the World App who utilises the Data Backup Storage Service.
You must be at least 18 years old and have the legal capacity to contract to use this Service. By agreeing to these terms, you represent that you meet this age requirement.
BY USING THE DATA BACKUP STORAGE SERVICE, YOU AGREE TO BE FULLY BOUND BY THIS AGREEMENT. IF YOU DO NOT AGREE TO THIS AGREEMENT, YOU MAY NOT ACCESS OR USE THE DATA BACKUP STORAGE SERVICE.
"Applicable Law" means all laws, statutes and regulations in the United Kingdom applicable to the performance by a party of its obligations under this Agreement, including Data Protection Legislation.
"Data Backup Storage Service" or "Service" means Nethermind's secure storage service for Encrypted Backup Data, hosted on AWS infrastructure.
"Data Protection Legislation" means any data protection legislation from time to time in force in the UK, including the Data Protection Act 2018 and the UK GDPR, and any other directly applicable regulation relating to privacy.
"Encrypted Backup Data" means your World App user backup data that has been encrypted by World App or its designated service providers before transmission to our Service, including but not limited to encrypted account data, wallet keys, biometric verification data, application settings, and third-party mini-app data.
"Personal Data" has the meaning as defined in the UK's Data Protection Act 2018 and the UK GDPR.
"World App" means the mobile application and related services provided by Tools for Humanity Corporation and its affiliates.
The Data Backup Storage Service provides secure storage for your Encrypted Backup Data generated through your use of the World App. The Service stores only pre-encrypted data and does not perform any encryption or decryption functions.
IMPORTANT: All encryption and decryption operations are performed exclusively by World App or its designated service providers before your data reaches our Service. Nethermind has no access to, control over, or knowledge of the underlying plaintext content of your data. Nethermind is not responsible for encryption security, key management, or the effectiveness of encryption protocols.
The Service is subject to the following limitations:
- The Service is provided solely for secure storage of Encrypted Backup Data;
- Nethermind does not provide data recovery services if encryption keys are lost;
- Nethermind cannot decrypt or access the content of your stored data;
- Service availability may be subject to maintenance windows and technical limitations; and
- [Data export or migration services are not provided by Nethermind - data retrieval is only possible through the World App interface.]
While we strive to provide reliable service, we make no guarantees regarding service availability, uptime, or performance. The Service may be unavailable due to maintenance, technical issues, or circumstances beyond our control.
You must ensure that your use of the Service complies with all Applicable Laws and the terms of this Agreement.
You warrant that your Encrypted Backup Data does not contain:
- Any illegal content;
- Content that is indecent, obscene, pornographic, harassing, threatening, abusive, hateful, or otherwise inappropriate;
- Content that infringes intellectual property rights of others, including but not limited to patents, trademarks, trade secrets, copyrights; and/or
- Any other content which does not comply with the Tools for Humanity User Terms and Conditions (as available here), or any other content-related policy and/or guidelines published by Tools for Humanity Corporation and its affiliates from time to time.
You warrant that your use of the World App and the generation of Encrypted Backup Data complies with all applicable Tools for Humanity User Terms and Conditions, privacy policies, community guidelines, and other policies published by Tools for Humanity Corporation and its affiliates from time to time.
You are responsible for maintaining the security of your World App account and any credentials used to access the Service.
You acknowledge that this Service provides backup storage only. You remain responsible for maintaining primary copies of your important data and should not rely solely on this Service for data preservation.
You acknowledge and agree that:
- All deletion requests must be initiated through the World App interface;
- You are solely responsible for ensuring the accuracy of any deletion requests made through the World App;
- Nethermind processes deletion requests automatically based on instructions received from the World App API and cannot verify the intent behind such requests;
- Nethermind will not be liable for data deletion resulting from erroneous, accidental, or unauthorized deletion requests initiated through the World App; and
- You should exercise caution when initiating any deletion actions through the World App, as deleted data cannot be recovered.
We process your Encrypted Backup Data solely for the purpose of providing secure storage services. We do not have access to the unencrypted content of your data. No data we process constitute Personal Data, as defined under the UK GDPR.
Your Encrypted Backup Data will be stored until:
- You delete the backup through your World App account;
- You request complete account deletion through the World App settings, which will delete all backup information;
- Your World App account is terminated in accordance with World App's terms; or
- Nethermind ceases to provide this service to you in accordance with this Agreement.
IMPORTANT NOTICE: If you stop using the World App without explicitly requesting account deletion, your backup data will be preserved to enable future access should you choose to log in again.
All data access and retrieval must be conducted through the World App interface. Upon request through the World App, you may export the ciphertext of your Encrypted Backup Data. Nethermind does not provide direct data access or portability services to individual users, as we cannot associate specific Encrypted Backup Data with individual users.
Your Encrypted Backup Data may be transferred to and stored in countries outside the UK in accordance with Data Protection Legislation and appropriate safeguards.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING BUT NOT LIMITED TO (i) WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT (ii) WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS; (iii) WARRANTIES THAT YOUR DATA WILL BE SECURE OR NOT OTHERWISE LOST OR ALTERED; and (iv) WARRANTIES REGARDING THE COMPLETENESS, ACCURACY, OR RELIABILITY OF THE SERVICE.
We make no representations or warranties regarding:
- The security or effectiveness of encryption performed by World App or third parties;
- The recoverability of your data if encryption keys are lost or compromised; or
- The integrity of encryption protocols used by World App or third parties.
The Service relies on third-party infrastructure (including AWS). We disclaim all liability for failures or issues arising from third-party services beyond our reasonable control.
Nethermind provides storage infrastructure services independently and is not affiliated with, controlled by, or acting as an agent of Tools for Humanity Corporation, World Foundation, or their affiliates. Our obligations are limited to secure storage of pre-encrypted data pursuant to our separate service agreement with Tools for Humanity Corporation.
Notwithstanding condition 6.1., we expressly disclaim all responsibility and liability for:
- Data deletion resulting from requests initiated through the World App, whether such requests are intentional, erroneous, accidental, or unauthorized;
- Any inability to recover data following deletion;
- Any consequences arising from the deletion of your Encrypted Backup Data; and
- Any disputes regarding the intent or authorization of deletion requests received through the World App API.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL NETHERMIND BE LIABLE FOR ANY (i) INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; (ii) LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES; (iii) DAMAGES RESULTING FROM YOUR USE OR INABILITY TO USE THE SERVICE; (iv) DAMAGES ARISING FROM ENCRYPTION/DECRYPTION ISSUES PERFORMED BY WORLD APP OR THIRD PARTIES; (v) DAMAGES ARISING FROM LOSS OF ENCRYPTION KEYS OR ACCESS CREDENTIALS; or (vi) DAMAGES ARISING FROM THE DELETION OF YOUR ENCRYPTED BACKUP DATA, WHETHER SUCH DELETION WAS INTENTIONAL, ERRONEOUS, ACCIDENTAL, OR UNAUTHORIZED.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED US $100.
Nothing in this Agreement limits or excludes our liability for: (i) Death or personal injury caused by our negligence; (ii) Fraud or fraudulent misrepresentation; or (iii) Any liability that cannot be limited or excluded under Applicable Law.
WE ACCEPT NO RESPONSIBILITY FOR THE SECURITY, INTEGRITY, OR RECOVERABILITY OF YOUR DATA DUE TO ENCRYPTION/DECRYPTION PROCESSES PERFORMED BY WORLD APP OR THIRD PARTIES. WE DISCLAIM ALL LIABILITY FOR ANY CLAIMS, LOSSES, OR DAMAGES ARISING FROM THE ENCRYPTION OF YOUR DATA.
WARNING: If you lose your encryption keys or access credentials, your data cannot be recovered. Nethermind cannot decrypt, recover, or restore your data under any circumstances.
You agree to defend, indemnify, and hold harmless Nethermind, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (i) Your breach of this Agreement; (ii) Your violation of any Applicable Law; (iii) Any dispute between you and any third party regarding your data; (iv) Claims arising from the content of your Encrypted Backup Data; or (v) Claims arising from the deletion of your Encrypted Backup Data, including but not limited to claims that such deletion was erroneous, accidental, or unauthorized.
This Agreement begins when you first use the Service and continues until terminated.
You may terminate this Agreement at any time by initiating deletion of your Encrypted Backup Data through the World App (whether by removing all login methods or requesting account deletion) or through any other method that results in deletion of your backup data.
We may terminate this Agreement by giving you fourteen (14) days written notice.
We may also suspend or terminate your access to the Service immediately without notice if: (i) You breach this Agreement; (ii) Your use of the Service poses security risks or violates Applicable Law; (iii) We discontinue the Service; or (iv) We are required to do so by law or regulatory authorities. In such cases, we will delete your Encrypted Backup Data within sixty (60) days of termination, unless prohibited by Applicable Law.
Upon termination of this Agreement:
- Your right to use the Service will cease immediately;
- If termination occurs due to deletion of your Encrypted Backup Data through the World App, your data will already have been permanently deleted from our systems;
- If termination occurs for any other reason, we will delete your Encrypted Backup Data within sixty (60) days of termination, unless prohibited by Applicable Law or unless your data has already been deleted through the World App; and
- The Agreement may resume if you subsequently choose to store backup data with us again through the World App.
Deletion of your World App account through the World App settings will result in immediate deletion of all your Encrypted Backup Data stored by Nethermind. This deletion is permanent and irreversible, and Nethermind cannot recover deleted data under any circumstances.
Any deletion of your Encrypted Backup Data, whether through removal of all login methods, World App account deletion, or any other deletion method, automatically terminates this Agreement between you and Nethermind. This Agreement will only resume if and when you choose to store backup data with us again through the World App.
We reserve the right to modify this Agreement at any time. Continued use of the Service after changes constitutes acceptance of the modified terms.
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, terrorism, labor disputes, or failures of third-party services.
This Agreement constitutes the entire agreement between you and us regarding the Service.
If any provision of this Agreement is found invalid or unenforceable, the remaining provisions will remain in full force and effect.
This Agreement is governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any disputes.
Before pursuing any formal legal action, we encourage you to contact us at legalnotices@nethermind.io to attempt to resolve any disputes informally through good faith negotiation.
If informal resolution is unsuccessful, any disputes arising out of or relating to this Agreement must be brought exclusively in the courts of England and Wales in accordance with Section 10.5 above.

By using the Data Backup Storage Service, you acknowledge that you have read, understood, and agree to be bound by this Agreement.
